Terms of Service
Effective date: 1 January 2027 · Last updated: 1 January 2027
These terms form a legally binding agreement between AIZAINOS LTD (“AIZAINOS”, “we”, “us”), a company registered in England and Wales under company number 16450844 with its registered office at The Club House, 304 Anchor Road, Longton, Stoke-on-Trent ST3 5DN, and the organisation that signs up to use the AIZAINOS platform (“Customer”, “you”). Please read them carefully. By creating an account, accepting an order form or using the platform, you accept these terms.
1. Definitions
- Platform — the AIZAINOS software, websites, apps, APIs and related services.
- Order — the online checkout, order form or quote that sets out your plan, fees and term.
- Customer Data — data you or your users upload, sync or create in the Platform, including leads and contact records.
- Users — people you authorise to use the Platform under your account.
- DPA — our Data Processing Agreement at [domain]/dpa, which forms part of these terms.
2. Who can use AIZAINOS
The Platform is provided for business use. The person accepting these terms confirms they are at least 18 and have authority to bind the Customer. If you are a consumer (acting outside your trade, business, craft or profession), section 19 also applies to you and gives you rights that nothing in these terms reduces.
3. Your account
- Give accurate information and keep it up to date.
- Keep login details confidential and switch on multi-factor authentication for administrators.
- You are responsible for everything done under your account by your Users. Tell us at [security@domain] straight away if you suspect unauthorised access.
- Each User login is for one named person and may not be shared.
4. Plans, fees and payment
- Fees are as shown in your Order. Prices are shown exclusive of VAT, which is added at the applicable rate; any other mandatory charge is shown in the headline price.
- Subscriptions are billed in advance, monthly or annually as your Order states. Invoices are due within [14] days unless paid by card or direct debit at checkout.
- If payment is more than 14 days overdue, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and, after giving you at least 7 days’ written notice, suspend access until payment is made.
- We may change prices for a renewal term by giving you at least 30 days’ notice before that renewal. Prices do not change during a paid term.
- Fees are non-refundable except where these terms or the law say otherwise.
5. Free trials
If you start a free trial, we will tell you before it begins how long it lasts and what you will pay afterwards. We will remind you at least 7 days before a paid subscription starts. You can cancel at any time during the trial at no cost.
6. Renewal and cancellation
- Subscriptions renew automatically for the same period unless cancelled.
- You can turn off auto-renewal at any time from Settings → Billing, or by emailing [support@domain]. Cancelling takes effect at the end of the current paid period, and you keep access until then.
- For annual plans we will send you a renewal reminder at least 30 days before renewal, stating the price and how to cancel.
7. Acceptable use
You must not, and must not let anyone else:
- use the Platform to break any law, including UK GDPR, PECR, the unfair commercial practices rules in the DMCC Act 2024, anti-spam or anti-bribery law;
- send marketing to people without a lawful basis, or ignore opt-outs;
- upload data you have no right to use, or special category data unless your Order expressly allows it;
- upload malware, probe or attack the Platform, or bypass security or usage limits;
- scrape, copy, reverse engineer or resell the Platform, except as the law expressly permits;
- use the Platform to build a competing product;
- harass, mislead or discriminate against anyone, or impersonate another person or business.
We may remove content or suspend access that breaches this section, as described in section 15.
8. Customer Data and data protection
- You own your Customer Data. You give us a limited licence to host, process and display it only to provide, secure and support the Platform for you.
- You are the controller of personal data in Customer Data and we are your processor. The DPA governs that processing and meets Article 28 UK GDPR.
- You are responsible for having a lawful basis and giving privacy information to the people whose data you load into AIZAINOS.
- We may use aggregated, de-identified data that cannot identify you or any person to measure and improve the Platform.
- You can export your Customer Data at any time while your account is active and for 30 days after it ends. We then delete it as set out in our Data Deletion policy.
9. AI features
- AI features generate suggestions, scores and drafts (“Outputs”). Outputs may be inaccurate, incomplete or similar to Outputs given to others.
- You must review Outputs before relying on or sending them, and you are responsible for how you use them.
- You may not use AI features to make decisions with legal or similarly significant effects on individuals without meaningful human review.
- We do not use your Customer Data to train AI models used for other customers.
- As between us, you own the Outputs you generate, subject to these terms.
10. Integrations and third-party services
The Platform connects to third-party systems such as CRMs, DMS, email and advertising platforms. Your use of those systems is governed by their own terms. We are not responsible for third-party services, their availability, or changes they make to their APIs, though we will use reasonable efforts to keep supported integrations working.
11. Our intellectual property
We and our licensors own all rights in the Platform, including software, designs, trade marks and documentation. We grant you a non-exclusive, non-transferable right for your Users to use the Platform during your subscription for your internal business purposes. If you send us feedback, we may use it freely without obligation to you.
12. Confidentiality
Each party will keep the other’s confidential information secret, use it only to perform this agreement, and share it only with staff and advisers who need it and are bound by confidentiality. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law. These duties last for 5 years after the agreement ends, and indefinitely for trade secrets.
13. Availability and support
We aim for [99.9]% monthly availability, excluding planned maintenance announced at least 48 hours in advance and events outside our reasonable control. Support is available [Monday to Friday, 9:00–17:30 UK time] at [support@domain]. Any service credits are set out in our Service Level Agreement at [domain]/sla.
14. Changes to the Platform and these terms
We improve the Platform continuously and may change features. We will not make a change that materially reduces the core functionality of your paid plan during your current term. We may update these terms; for material changes we will give at least 30 days’ notice by email or in-app. If you object, you may cancel before the change takes effect and receive a pro-rata refund of prepaid fees for the unused period.
15. Suspension and termination
- We may suspend access immediately if needed to stop a security threat, serious breach of section 7, or legal violation, and will tell you why as soon as we can.
- Either party may terminate by written notice if the other commits a material breach and fails to fix it within 30 days of being told, or becomes insolvent.
- On termination, your right to use the Platform ends, you must pay fees due up to the end date, and sections 8.5, 11, 12, 16, 17, 18 and 20 continue.
16. Warranties
We will provide the Platform with reasonable care and skill and in line with its documentation. Except as stated in these terms, the Platform is provided “as is” and we give no other warranties, to the fullest extent the law allows. You warrant that you have all rights needed to give us Customer Data and to use it in the Platform.
17. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited.
- Subject to 17.1, neither party is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
- Subject to 17.1, each party’s total liability in each contract year is limited to the greater of (a) the fees paid and payable by you in the 12 months before the event giving rise to the claim and (b) £[5,000].
- The cap in 17.3 does not apply to your obligation to pay fees, or to either party’s indemnity under section 18.
- We are not responsible for delays or failures caused by events beyond our reasonable control, such as utility or internet failures, cyber attacks we could not reasonably prevent, natural disasters or government action.
18. Indemnities
- We will defend you against any third-party claim that your authorised use of the Platform infringes their UK intellectual property rights, and pay resulting damages awarded.
- You will defend us against any third-party claim arising from your Customer Data or your breach of section 7, and pay resulting damages awarded.
The party seeking protection must tell the other promptly, let them control the defence, and give reasonable help.
19. If you are a consumer
If you use AIZAINOS as a consumer, you have legal rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, including a 14-day right to cancel a new subscription. If you ask us to start the service within those 14 days, we may charge for the service used. Nothing in these terms affects your statutory rights. Sections 17.2 to 17.4 and 18 do not limit our liability to you for losses that were foreseeable when you entered the contract. You may bring claims in the courts of your home part of the UK.
20. General
- Notices go by email to the addresses on the account and to [legal@domain] for us.
- Assignment — neither party may transfer this agreement without the other’s consent, except to a successor in a merger or sale of the business.
- Subcontractors — we may use subcontractors and remain responsible for them.
- Entire agreement — these terms, your Order, the DPA and any SLA are the whole agreement. If they conflict, the Order wins, then the DPA, then these terms.
- Third parties — no one else has rights under the Contracts (Rights of Third Parties) Act 1999.
- Waiver and severance — a delay in enforcing a right is not a waiver; if any part is unenforceable, the rest stays in force.
- Disputes — we will first try to resolve any dispute through senior representatives within 30 days.
- Governing law — these terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to section 19.
